1. Definitions

In these Terms and Conditions (“Terms”), the following definitions apply:

• “We”, “us”, “our” refers to Easy Social Proof, the operator of easysocialproof.io and developer of the Easy Social Proof Pro plugin.
• “You”, “your” refers to any individual or entity accessing our website or purchasing, downloading, or using our products.
• “Plugin” refers to Easy Social Proof Pro, including all versions, updates, patches, and associated documentation.
• “Website” refers to easysocialproof.io and all its subdomains.
• “Licence” refers to the right granted to you to use the Plugin under these Terms.
• “Licence Key” refers to the unique code provided to you upon purchase that activates the Plugin.

2. Acceptance of Terms

By accessing our Website, purchasing the Plugin, or installing and using the Plugin, you agree to be bound by these Terms in full. If you do not agree to any part of these Terms, you must not use our Website or Plugin.

These Terms constitute a legally binding agreement between you and Easy Social Proof. We recommend that you print or save a copy of these Terms for your records.

3. Plugin Licence

3.1 Grant of Licence

Upon completion of a valid purchase, we grant you a limited, non-exclusive, non-transferable, revocable licence to install and use the Plugin on the number of WordPress websites specified by your purchased licence tier.

3.2 Licence Restrictions

You may not:

• Redistribute, resell, lease, sublicence, or otherwise make the Plugin available to any third party.
• Modify, adapt, reverse engineer, decompile, or disassemble the Plugin, except to the extent expressly permitted by applicable law.
• Remove, alter, or obscure any proprietary notices, labels, or marks on the Plugin.
• Use the Plugin on more websites than your licence tier permits.
• Share, publish, or distribute your Licence Key to any third party.
• Use the Plugin to develop a competing product or service.
• Include the Plugin (in whole or in part) in any product or service offered for sale or free distribution.

3.3 Licence Validation

The Plugin periodically communicates with our servers to validate your Licence Key. Tampering with, bypassing, or disabling this validation mechanism is a breach of these Terms and will result in immediate licence revocation without refund.

3.4 Licence Duration

Your licence is valid for the subscription period purchased (e.g. annual). Continued use of the Plugin after your licence period expires requires renewal. Upon expiry or termination, the Plugin may cease to function or revert to a limited mode.

4. Account and Purchase

To purchase the Plugin, you may be required to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate, current, and complete information during the registration and purchase process.

You must notify us immediately at support@easysocialproof.io if you become aware of any unauthorised use of your account or Licence Key.

5. Pricing, Payment and Refunds

5.1 Pricing

All prices are displayed on our Website and are quoted in the currency stated at the point of sale. We reserve the right to change our prices at any time. Price changes will not affect existing, active licence subscriptions until their next renewal date.

5.2 Payment

Payment is processed securely through our third-party payment provider. By submitting a purchase, you authorise us to charge the applicable fees to your chosen payment method. All payments are due at the time of purchase.

5.3 Refunds

We offer a 30-day money-back guarantee from the date of initial purchase. If you are not satisfied with the Plugin within this period, you may request a full refund by contacting support@easysocialproof.io. Refund requests made after 14 days will be considered at our sole discretion.

Refunds are not available for licence renewals, upgrades, or where the Plugin has been used in violation of these Terms. Upon refund, your licence will be immediately revoked and you must uninstall the Plugin from all sites.

5.4 Subscription Renewal

If your licence is set to auto-renew, we will charge your payment method on file at the then-current renewal price. You may cancel auto-renewal at any time through your account dashboard or by contacting us before the renewal date. No refunds will be issued for partial subscription periods after renewal.

6. Updates and Support

6.1 Updates

During your active licence period, you are entitled to receive Plugin updates, including bug fixes, security patches, and feature improvements, as and when we release them. We are under no obligation to release updates on any particular schedule or to include any specific features or fixes.

6.2 Support

During your active licence period, you are entitled to email-based technical support. Support covers issues directly related to the Plugin’s functionality. Support does not include:

• General WordPress troubleshooting or server configuration.
• Customisation, modification, or bespoke development of the Plugin.
• Conflicts caused by third-party plugins, themes, or hosting environments.
• Issues arising from use of the Plugin on unsupported WordPress versions or PHP versions.

We will use reasonable efforts to respond to support requests in a timely manner but do not guarantee any specific response time.

7. Acceptable Use

You agree not to use our Website or Plugin in any way that:

• Is unlawful, fraudulent, deceptive, or harmful.
• Violates the rights of any third party, including intellectual property, privacy, or publicity rights.
• Introduces viruses, malware, or any other harmful code.
• Attempts to gain unauthorised access to our servers, systems, or other users’ accounts.
• Interferes with or disrupts the integrity or performance of our Website or services.
• Generates misleading, false, or deceptive social proof notifications designed to deceive consumers.
• Violates any applicable consumer protection laws or advertising standards in your jurisdiction.

We reserve the right to suspend or terminate your licence and access immediately if we reasonably believe you are in breach of these acceptable use provisions.

8. Intellectual Property

All intellectual property rights in the Plugin, Website, and all associated content (including but not limited to source code, object code, documentation, graphics, logos, and trademarks) are owned by Easy Social Proof or our licensors and are protected by copyright, trademark, and other intellectual property laws.

Your purchase grants you a licence to use the Plugin only. It does not transfer any ownership of intellectual property rights to you. All rights not expressly granted in these Terms are reserved.

9. No Warranty or Guarantee

THIS IS AN IMPORTANT SECTION. PLEASE READ IT CAREFULLY.

THE PLUGIN AND ALL ASSOCIATED SERVICES, CONTENT, DOCUMENTATION, AND MATERIALS ARE PROVIDED STRICTLY ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTY OR GUARANTEE OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE EXPRESSLY DISCLAIM ALL WARRANTIES AND GUARANTEES, INCLUDING BUT NOT LIMITED TO:

• IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
• ANY WARRANTY THAT THE PLUGIN WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, VIRUS-FREE, OR FREE OF BUGS OR DEFECTS.
• ANY WARRANTY THAT THE PLUGIN WILL MEET YOUR SPECIFIC REQUIREMENTS OR EXPECTATIONS.
• ANY WARRANTY THAT THE PLUGIN WILL BE COMPATIBLE WITH YOUR WORDPRESS INSTALLATION, THEME, OTHER PLUGINS, HOSTING ENVIRONMENT, OR SERVER CONFIGURATION.
• ANY WARRANTY REGARDING THE ACCURACY, RELIABILITY, COMPLETENESS, OR TIMELINESS OF ANY RESULTS OBTAINED THROUGH THE USE OF THE PLUGIN.
• ANY WARRANTY THAT THE PLUGIN WILL INCREASE SALES, CONVERSIONS, REVENUE, OR ACHIEVE ANY PARTICULAR BUSINESS OUTCOME.
• ANY WARRANTY THAT DEFECTS WILL BE CORRECTED OR THAT UPDATES WILL BE PROVIDED.

YOU ACKNOWLEDGE AND AGREE THAT YOUR USE OF THE PLUGIN IS ENTIRELY AT YOUR OWN RISK. You are solely responsible for determining the suitability of the Plugin for your intended use and for any results obtained from its use. No advice or information, whether oral or written, obtained from us or through the Plugin shall create any warranty not expressly stated in these Terms.

WE DO NOT WARRANT OR GUARANTEE THAT THE PLUGIN WILL GENERATE ANY SPECIFIC RESULTS, INCLUDING BUT NOT LIMITED TO INCREASED WEBSITE TRAFFIC, HIGHER CONVERSION RATES, INCREASED SALES, OR IMPROVED BUSINESS PERFORMANCE. Any examples, case studies, testimonials, or performance metrics shared on our Website or in our marketing materials are for illustrative purposes only and are not a promise or guarantee of results.

Some jurisdictions do not allow the exclusion of certain warranties. In such jurisdictions, the above exclusions shall apply to the fullest extent permitted by applicable law.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

10.1 We shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to damages for loss of profits, revenue, business, goodwill, data, anticipated savings, or any other intangible loss, arising out of or in connection with your use of or inability to use the Plugin, even if we have been advised of the possibility of such damages.

10.2 We shall not be liable for any loss or damage arising from:

• Conflicts between the Plugin and any third-party software, plugins, themes, or hosting environments.
• Server downtime, data loss, or security breaches on your WordPress installation or hosting provider.
• Incorrect configuration or misuse of the Plugin.
• Actions taken by you or any third party based on social proof notifications generated by the Plugin.
• Any violation of applicable laws or regulations resulting from your use of the Plugin, including consumer protection or advertising standards laws.
• Interruption or cessation of the licence validation service.

10.3 In any event, our total aggregate liability to you for all claims arising out of or relating to these Terms or the use of the Plugin shall not exceed the amount you paid to us for the Plugin in the 12 months immediately preceding the event giving rise to the claim.

10.4 Nothing in these Terms shall exclude or limit our liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot be excluded or limited by applicable law.

11. Indemnification

You agree to indemnify, defend, and hold harmless Easy Social Proof, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

• Your use of the Plugin or Website.
• Your breach of these Terms.
• Your violation of any applicable law, regulation, or third-party right.
• Any content, data, or social proof notifications you create, display, or distribute using the Plugin.
• Any claim by a third party that the social proof notifications displayed on your website are false, misleading, or deceptive.

12. Third-Party Services and Compatibility

The Plugin is designed to work within the WordPress ecosystem. We do not guarantee compatibility with any specific version of WordPress, PHP, MySQL, web server software, hosting provider, theme, or third-party plugin.

Our Website or Plugin may reference, link to, or integrate with third-party services (e.g. WooCommerce, payment gateways, email providers). These services are provided by independent third parties, and we have no control over their availability, accuracy, or performance. Your use of third-party services is governed by their own terms and privacy policies.

We are not responsible for any loss, damage, or liability arising from the use of, reliance on, or interaction with any third-party service.

13. Termination and Suspension

13.1 Termination by You

You may stop using the Plugin and cancel your licence at any time by uninstalling the Plugin from your website(s) and, if applicable, cancelling your subscription through your account dashboard. No refund will be issued for any unused portion of a subscription period.

13.2 Termination by Us

We may suspend or terminate your licence and access to the Plugin and Website immediately, without prior notice or liability, if:

• You breach any provision of these Terms.
• We reasonably suspect fraudulent, abusive, or unlawful activity associated with your account.
• You fail to pay any applicable fees when due.
• We discontinue the Plugin or Website (in which case we will use reasonable efforts to provide notice).

13.3 Effect of Termination

Upon termination for any reason: (a) your licence is immediately revoked; (b) you must cease all use of the Plugin and delete all copies from your websites and systems; (c) any outstanding payment obligations remain due. Sections 8, 9, 10, 11, 14, and 16 shall survive termination.

14. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles.

Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales, provided that nothing in this section shall prevent us from seeking injunctive or other equitable relief in any court of competent jurisdiction.

If you are a consumer in the European Union, you may also have the right to submit a dispute to the European Commission’s Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr.

15. Force Majeure

We shall not be liable for any delay or failure in performance resulting from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, strikes, government actions, power failures, internet or telecommunications failures, cyberattacks, pandemics, or any other force majeure event.

16. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, it shall be severed from these Terms. The remaining provisions shall continue in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Easy Social Proof regarding the use of our Website and Plugin, and supersede all prior and contemporaneous agreements, representations, and understandings, whether oral or written.

No waiver of any provision of these Terms shall be effective unless made in writing and signed by us. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

18. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will update the “Last Updated” date at the top of this page and, where reasonably practicable, notify you by email or by a prominent notice on our Website.

Your continued use of the Website or Plugin after any changes are posted constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Plugin and cancel your licence.
